License Terms

These License Terms (“Terms”) govern the use of software licenses issued by Grammatek ehf., reg. no. (kennitala) 641018-0820, Fjólulundur 4, 300 Akranes, Iceland (“Grammatek”, “we”, “us”) for our applications, including Símarómur and Leslingur (the “Software”), when such licenses are obtained outside of a consumer app store - for example through our business licensing portal, a written agreement, or a promotional campaign.
If you obtained the Software or a subscription directly through the Apple App Store, Google Play Store, or Microsoft Store, the terms of the respective store apply to that purchase instead.
Our licensing portal is intended for organizations (such as schools, municipalities, and companies). Where a consumer nevertheless acquires a License through the portal, mandatory consumer protection law applies to the extent it is more favorable to the consumer than these Terms.
These Terms are published in English and Icelandic. In case of discrepancy, the Icelandic version prevails.
1. Definitions
- License - the right to activate and use one or more features of the Software, limited by a maximum number of Activations and a validity period.
- License Holder - the organization or individual that acquired the License from Grammatek (e.g. a school, municipality, or company).
- Activation - the process of enabling licensed features on a single device, either by scanning a license QR code or through a managed app configuration (MDM) deployed by the License Holder.
- End User - a person using the Software on a device activated under the License Holder’s License.
2. Conclusion of Contract
A contract between the License Holder and Grammatek is concluded when an order has been confirmed in the licensing portal, or when Grammatek has confirmed an order in writing. Whoever places an order on behalf of an organization warrants that they are authorized to bind that organization.
3. License Grant
Subject to these Terms and payment of the applicable fees, Grammatek grants the License Holder a non-exclusive, non-transferable, time-limited right to activate and use the licensed features of the Software on up to the number of devices specified in the applicable order, agreement, or promotional offer.
The specific scope of each License - the licensed features (e.g. Símarómur, Leslingur, or both), the maximum number of Activations per feature, the validity period, and the price - is defined in the individual order, agreement, or promotional offer under which the License was issued. In case of conflict between these Terms and an individual agreement, the individual agreement prevails.
4. Activation and Device Management
Licenses are activated per device. The License Holder may activate devices by distributing the license QR code to End Users or by deploying the license key through a mobile device management (MDM) system using managed app configuration.
The License Holder is responsible for keeping license codes confidential within its organization and for ensuring that Activations are used only on devices under its control or the control of its End Users. Grammatek may invalidate license codes that are publicly disclosed or used beyond the agreed scope, and will issue replacement codes to the License Holder in such cases.
Activations may be released and reassigned to other devices where the License Holder’s agreement provides for this, or by contacting Grammatek support.
5. Term, Expiry and Renewal
Each License is valid for the period specified at issuance (for example, twelve months from activation or until a fixed end date). Licensed features are disabled automatically when the License expires. No separate termination or notice is required.
A renewal must follow on directly from the term of the existing License, so that the new license period begins when the previous one expires. A License purchased after the previous term has lapsed constitutes a new purchase, not a renewal.
Upon renewal or a new purchase, existing Activations are reactivated automatically where technically possible, so that devices do not need to be set up again.
6. Promotional Licenses
Grammatek may issue free promotional Licenses or Licenses on special terms (for example, trial licenses valid for one month from activation or until a fixed date). Promotional Licenses are provided “as is”, may be limited or withdrawn at any time, do not entitle the holder to renewal on the same conditions, and may not be resold or redistributed.
7. Fees and Payment
Fees, invoicing, and payment terms are set out in the individual order or agreement. Unless agreed otherwise, invoices are payable within 14 days. Grammatek may suspend the issuance of new Activations for accounts with overdue payments.
8. Restrictions
The License Holder and End Users may not:
- share, publish, sell, or sublicense license codes or QR codes outside the License Holder’s organization;
- circumvent or attempt to circumvent activation limits or license expiry;
- reverse engineer, decompile, or modify the Software, except to the extent permitted by mandatory law;
- use the Software to develop a competing product.
9. Machine-Generated Output and Responsible Use
The Software produces machine-generated output, such as synthesized speech and text recognition (OCR) results. Such output may contain errors or inaccuracies. The License Holder and End Users are responsible for reviewing output for accuracy and suitability before relying on it. Output must not be used on its own as the basis for decisions that produce legal or similarly significant effects concerning an individual.
The voices of the Software are based on recordings of real voice talents who have licensed their voice for speech synthesis. Output must not be used to impersonate the underlying voice talents or any other real person, to create the impression that a real person said something they did not say, or to suggest a person’s endorsement. Any use of output for deception, fraud, defamation, or harassment is prohibited.
10. Support and Service Availability
License activation requires a network connection to Grammatek’s licensing service at the time of activation. Once activated, devices operate independently of the licensing service. The licensing service is an administrative tool, not a continuously available online service; Grammatek uses commercially reasonable efforts to keep it available but does not guarantee any particular level of availability. Temporary interruptions do not constitute a defect and do not give rise to any fee reduction, compensation, or termination right. If activations are prevented for a prolonged period by unavailability of the licensing service, Grammatek will, as the License Holder’s sole remedy, extend the affected Licenses by the corresponding period or provide an alternative means of activation.
Support is provided to the License Holder’s designated contact (e.g. the IT administrator). Unless agreed otherwise, Grammatek does not provide direct end-user support for organizational Licenses.
11. Third-Party Platforms
The Software runs on devices and operating systems provided by third parties (e.g. Apple iOS, Google Android) and depends on their technical interfaces, such as system text-to-speech and accessibility APIs. These platforms are outside Grammatek’s control. Grammatek does not warrant that the Software will remain compatible with future versions of third-party operating systems, or that platform providers will continue to offer the interfaces the Software requires.
The system requirements for the Software - including the supported operating-system versions - are set out in the compatibility list published by Grammatek, as updated from time to time. The License Holder is responsible for operating the Software in a supported environment. Use of the Software on operating-system versions not listed as supported - including versions no longer supported, versions not yet supported, and versions excluded because of known issues in the operating system itself - is at the License Holder’s own risk, and resulting impairments do not constitute a defect. Grammatek may issue compatibility notices (for example, a recommendation to defer an operating-system update) and will use commercially reasonable efforts to support new operating-system versions within a reasonable time after their release.
If a change to a third-party platform impairs a licensed feature, Grammatek will use commercially reasonable efforts to restore it through an update or workaround. Temporary impairments caused by such changes do not constitute a defect and do not give rise to compensation claims.
If a change to a third-party platform permanently prevents a licensed core feature from being used on the License Holder’s devices and no reasonable workaround exists, the License Holder may terminate the affected Licenses and receive a pro-rata refund of prepaid fees for the remaining license period, as the License Holder’s sole remedy.
12. Intellectual Property
The Software, including all voices, models, and associated materials, remains the exclusive property of Grammatek and its licensors. These Terms grant a right of use only; no ownership or other rights are transferred.
13. Privacy
The processing of personal data in connection with the Software and the licensing service is described in our Privacy Policy. License activation processes technical identifiers required to enforce activation limits; it does not require End Users to create personal accounts.
14. Warranty and Liability
Grammatek warrants that the Software will substantially conform to its documentation. Except as expressly stated, the Software is provided without further warranties to the extent permitted by law. The License Holder shall notify Grammatek of defects without undue delay after discovery.
Grammatek’s total liability for damages under a License is limited to the portion of the fees for that License attributable to the affected Activations and to the three months preceding the event giving rise to the claim. Grammatek is not liable for indirect or consequential damages, including loss of profit or business interruption, except in cases of intent or gross negligence, or where liability cannot be limited under applicable law.
15. Force Majeure
Grammatek is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, strikes, acts of public authorities, or disruptions of telecommunications or internet services. Obligations are suspended for as long as such circumstances persist. If they persist for more than 30 days, either party may terminate the affected License by written notice; the obligation to pay for services already provided remains unaffected.
16. Assignment
Grammatek may assign its rights and obligations under these Terms to another legal entity, provided this does not affect the License Holder’s rights and the License Holder is notified. The License Holder may assign its rights only with Grammatek’s written consent.
17. Changes to These Terms
Grammatek may update these Terms for future Licenses and renewals. The version in effect at the time a License is issued applies to that License for its entire validity period. Material changes will be communicated to active License Holders.
18. Governing Law and Venue
These Terms are governed by the laws of Iceland. Disputes that cannot be resolved amicably shall be brought before the District Court of West Iceland (Héraðsdómur Vesturlands), unless mandatory law provides otherwise.
